The Process of Company Incorporation

Step 1 – Due Diligence
Before proceeding with incorporation, due diligence is legally required to verify the business and its members. This step ensures compliance with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations.
- Identity and address verification of all directors, shareholders, Ultimate Beneficial Owners (UBOs), and contact persons.
- Background checks and risk assessment to confirm eligibility under compliance laws.
- Business activity assessment to ensure that the company’s intended operations align with Cayman Islands regulations.
- Collection of necessary supporting documents, such as proof of identity, proof of address, and corporate documents (if applicable).

Once the due diligence process is completed, the incorporation process moves to the paperwork stage.
Step 2 – Paperwork
After due diligence verification, the necessary incorporation documents are prepared. This includes:
- Drafting and preparing all required forms and applications.
- Preparing the Memorandum & Articles of Association (M&AA) or LLC Agreement, depending on the company type.
- Sharing the documents with you for review and approval.
- Obtaining signatures from all relevant parties before submission.
Step 3 – Filing and Incorporation
Once all documents are signed and finalized, the incorporation process moves to official filing with the Cayman Islands General Registry.
- Submission of incorporation documents to the Cayman Islands General Registry.
- Government review and approval process to confirm compliance with local regulations.
- Issuance of the Certificate of Incorporation upon successful registration.
- Registration of directors, shareholders, and beneficial owners in compliance with legal requirements.
Once incorporation is complete, the company is legally registered and can proceed with post-incorporation formalities, such as opening a corporate bank account and fulfilling the remaining compliance obligations.
